Bylaws of the Dublin Middle Tier Soccer Organization
|
Article I: Name
The name of this organization is the Dublin Middle Tier Soccer Organization, hereinafter referred to as DMTSO.
Article II: Objectives
-
To provide soccer programming within the City of Dublin for those interested in playing soccer at a level above recreational soccer and not ready and/or able to make the full commitment to Club soccer.

To conform to the rules, regulations and bylaws of the leagues in which the DMTSO places teams.

To promote fair play and good sportsmanship in a safe environment so that players of all ages with above average skills may have fun playing the game of soccer.
-
DMTSO is organized exclusively for the charitable, scientific, literary or educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code or corresponding section of any future Federal tax code.
Article III: Participation

Participation in DMTSO shall be made available without regard to the race, color, creed or national origin of the player, guardian, coach, or official as long as the individual subscribes and adheres to the DMTSO philosophy and policies.

A player may participate in DMTSO as long as they do not participate in another ‘competitive’ soccer program during the same season. A ‘competitive’ soccer program being defined as a being a “Select” program.

A player, coach or official may participate in DMTSO as long as they are covered by an insurance policy that is equivalent to and compatible with the policy or policies of DMTSO’s governing organization.

A player, guardian, coach or official may participate in DMTSO as long as they indemnify DMTSO, the City of Dublin, the Dublin Soccer League, the League(s) in which the player participates, the governing organization(s) for the league(s), any tournament personnel or organizations, the USSF, and FIFA against and waive all rights to pursue legal action against DMTSO and its Board of Trustees in the event that they are injured during, while transporting to or transporting from a DMTSO sponsored event.

Participants shall be designated as those players, coaches, parents and volunteers in good standing with DMTSO.
Article IV: Policies
The following are the basic policies of DMTSO:

DMTSO shall be nonsectarian and nonpartisan.

The name DMTSO or the name of any DMTSO participant in their official capacities shall not be used in connection with any partisan interest or in any purpose not appropriately related to the promotion of the objectives of DMTSO.

DMTSO shall not, directly or indirectly, participate or intervene in any political campaign on behalf of, or in opposition to, any candidate for public office.

DMTSO may cooperate with other organizations and agencies concerned with soccer, but persons representing DMTSO in such matters shall make no commitments that bind DMTSO.

No part of the net earnings of DMTSO shall inure to the benefits of, or be distributed to participants, officers or other private persons except that DMTSO shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the objectives set forth in Article II hereof.

Upon the dissolution of DMTSO, after paying or adequately providing for the debts and obligations of the organization, the remaining assets shall be distributed to one or more non-profit funds, foundations or organizations.

DMTSO shall solicit sanctioning by a nationally recognized soccer organization for the purpose of obtaining insurance for its participants.

Guidelines for DMTSO shall be provided as an addendum to the bylaws. These guidelines shall govern the day-to-day activities of DMTSO in so far as they do not conflict with the philosophy and bylaws of DMTSO or its sanctioning body.

Participants in DMTSO who fail to act in accordance with the spirit of the league(s) as put forth the DMTSO philosophy, guidelines and bylaws shall be subject to grievances as detailed in Article XI.
Article V: Philosophy
The basic philosophy of DMTSO shall be that the game of soccer is best experienced in a safe environment and instructional atmosphere where the exhilaration of playing the game is combined with participation in the many other activities provided by a player’s community and local organizations.
Article VI: Officers and Their Election & removal

The officers of DMTSO shall be: President, Vice President, Secretary, Treasurer, Representative & Director of Marketing & Training. These officers shall constitute the Board of Trustees.

Officers shall assume their official duties on the first day of the fiscal year and shall serve for a term of the fiscal year or until the election of their successor if they resign or are incapable of fulfilling their duties during the fiscal year.

The President shall be elected from among the Trustees by a majority vote of the Board of Trustees in attendance at the first meeting of the fiscal year.

The Board of Trustees may contract for the services of an Administrator if support is needed. The contract shall be given to the company whose proposal of services receives a majority vote of the Trustees in attendance at the first Board of Trustee meeting of the fiscal year.

A person elected by majority vote of the remaining Board of Trustees, notice of such election having been given, shall fill a vacancy occurring in any elective position for the unexpired term.

The Board of Trustees may elect to remove any board member including the Administrator based on a two thirds vote in the case where said members are not supporting their duties within the board as stated in the by Laws.

The Board of Trustees may elect a board member for a new position based on the DMTSO business requirements in order to continue growth & development in strengthening the organization based on a two thirds vote.
Article VII: Duties of Trustees
The duties of the President shall be to:
-
preside at all meetings of DMTSO;
-
serve as an ex-officio member of all committees;
-
have signatory power over all funds of DMTSO
-
have signatory power over all agreements/ contracts/ policies & the execution of the above listed with majority approval by the DMTSO board.

to meet annually with a representative from the City of Dublin to review the performance and activities of DMTSO and
-
perform such other duties as may be prescribed in these bylaws or assigned by the Board of Trustees.
The duties of the Vice-President shall be to:
- perform the duties of the President in the absence or inability of that officer to act and
-
perform such other duties as may be prescribed in these bylaws or assigned by the Board of Trustees.
The duties of the Secretary shall be to:

keep correct records of all meetings, attend to all correspondence, provide notification of all meetings and maintain all important documents and
-
perform such other duties as may be prescribed in these bylaws or assigned by the Board of Trustees.
The duties of the Treasurer shall be to:

have custody of and signatory power over all of the funds of DMTSO;

keep a full and accurate account of receipts and expenditures;
-
make disbursements in accordance with the budget approved by the Board of Trustees;
-
present a written financial statement at every meeting of the DMTSO Board of Trustees and
-
perform such other duties as may be prescribed in these bylaws or assigned by the Board of Trustees.
The duties of the Representative shall be to:

attend all League Meetings and Organizational Meetings within which the DMTSO has teams playing or the DMTSO is a Member (voting or otherwise)
-
perform such other duties as may be prescribed in these bylaws or assigned by the Board of Trustees.
The duties of the Director of Marketing & Training shall be to:

Lead the development of activities that will help to ensure the future growth & expansion of the DMTSO program within the Dublin Community.

Coordinate activities for DMTSO that will strengthen the skills of the coaches & children within DMTSO by setting up events & training opportunities to aid in this development.

perform such other duties as may be prescribed in these bylaws or assigned by the Board of Trustees.
The duties of Trustees shall be to:

be present meet at all Board of Trustee meetings,
-
meet on a regular basis to transact the business of DMTSO;
-
transact such other business as may be prescribed in these bylaws or referred to the Board of Trustees by the participants of DMTSO including but not limited to the resolution grievances and approval or disapproval of applications for participation;
-
appoint a qualified individual (i.e. accountant, controller) to audit all DMTSO accounts at any time and at the end of the current Treasurer’s term;
-
approve budgetary concerns;
-
fill vacancies in elective and appointive positions and
-
create Standing Committees and approve their statement of work.
Article VIII: Meetings
-
No fewer than four general meetings of the DMTSO Board of Trustees shall be held during the fiscal year. The date and time of these meetings to be fixed by the Board of Trustees within the first three months of the fiscal year.

Special meetings of the Board of Trustees may be called with the simple majority vote of the Board of Trustees. Special meetings may be conducted by telephone, electronic communication and/or written proxy.

All meetings of the Board of Trustees shall be open to the public.

A majority of the members of the Board of Trustees shall constitute a quorum.
-
Any meeting of DMTSO is considered an official meeting when a quorum of the members of the Board of Trustees is present.
Article IX: Standing Committees

The Board of Trustees shall create such Standing Committees, as it may deem necessary to promote the objectives and carry on the work of DMTSO. The term of office of a chairperson of a Standing Committee shall be from inception until the end of the current fiscal year.

The Chairperson of a Standing Committee shall present plans of work, which include a budget, to the Board of Trustees for approval. No Standing Committee work shall be undertaken without the consent of the Board of Trustees.

A majority of the members of a Standing Committee shall constitute a quorum.

The chairperson of a Standing Committee shall keep accurate records of their committee’s activities and shall submit the Board of Trustees a written report of their committee’s activities at the end of the current fiscal year.
Article X: Fiscal Year
The fiscal year of the DMTSO shall be from July 1 through June 30.
Article XI: Grievances

Any DMTSO participant may submit a grievance in writing to the Board of Trustees at any time.

The Board of Trustees shall review and investigate the written grievance, prepare a written report on the grievance which describes the view point of all major participants in the action precipitating the grievance and present the grievance and the report at the next regularly scheduled meeting of the Board of Trustees provided that the grievance is received five (5) days prior to said meeting. If the grievance is received less than five (5) days prior to the next regularly scheduled meeting of the Board of Trustees, the grievance and report will be presented to the Board of Trustees at the following meeting.

With the concurrence of the President and the Board of Trustees, a special meeting may be convened to review and vote on a grievance.

A grievance may be upheld by a majority vote of the members in attendance at the Board of Trustee meeting at which the grievance is presented.

The Board of Trustees shall undertake any or no action that they deem necessary in the event of an upheld grievance. Any action shall be undertaken by a majority vote of the members in attendance at the Board of Trustee meeting at which the grievance is presented. The decision of the Board of Trustee as to the grievance and/or action as the result of the grievance shall be final.

The DMTSO participant or participants shall be informed of the Board of Trustees decision to uphold or reject the grievance in writing. The participant or participants need not be given a reason for the Board of Trustees’ decision or informed of any actions taken as the result of an upheld grievance. The DMTSO participant or participants may submit a rejected grievance to the governing organization for their participating league.
Article XIII: Parliamentary Authority
Robert's Rules of Order Newly Revised shall govern DMTSO in all cases in which they are applicable and in which they are not in conflict with these bylaws or the sanctioning body.
Article XIV: Amendments

The bylaws of DMTSO shall be available to all participants of DMTSO, or anyone upon request on our website.

These bylaws may be amended at any meeting of Board of Trustees by a two-thirds (2/3) vote of the members Trustees present and voting, provided notice of the proposed amendments shall have been given at the previous meeting of the Board of Trustees.

A Standing Committee may be appointed to submit a revised set of bylaws as a substitute for these by laws only by a majority vote of the members in attendance at a meeting of the Board of Trustees.
Article XV General.

The general rules and guidelines of F.I.F.A., the United States Soccer Federation (USSF) & any league in which we are affiliated.
-
As a participant in any activity associated with DMTSO, all persons, (players, coaches, trainers, referees, spectators, etc.) agree to comply with and to abide by these bylaws.
